DomaCom secures $1.5 million strategic investment from Lumiere Lifestyle Group

ASX-listed DomaCom have secured a $1.5 million private placement from Lumiere Lifestyle Group Limited, further strengthening its financial position and investment strategy.

This news follows the recent announcements of a $2 million placement and the appointment of Giuseppe Porcelli as Non-Executive Chairman.

Strategic Investment & Portfolio Growth

Under the agreement, Lumiere will subscribe for 107,142,857 fully paid ordinary shares at $0.014 per share (pre-consolidation). Additionally, Lumiere will receive:

  • 88,360,980 options, exercisable at $0.014 or the 5-day VWAP (capped at $0.021), expiring 30 April 2025.
  • 142,857,143 options, exercisable at $0.021 or the 5-day VWAP (capped at $0.014), expiring 31 December 2025 (subject to shareholder approval).

A 5:1 share consolidation will follow shareholder approval at the upcoming AGM.

Expansion Through New Investment Funds

DomaCom and Lumiere will launch three new funds:

  1. Maison Rose Care Fund – Financing care providers with fixed-income returns.
  2. Lumiere Homeowner Shared Equity Fund – Investing in residential property via DomaCom’s Bricklet Shared Equity platform.
  3. Evercare Living SDA Property Fund – A multi-asset fund specialising in Specialist Disability Accommodation (SDA) properties.

Asset Acquisitions & Investor Benefits

Lumiere will acquire underperforming sub-fund assets, allowing investors to reinvest into the Maison Rose Care Fund with additional top-up units, enhancing investment outcomes. Investors in maturing sub-funds can choose:

  1. Scrip Consideration (105% of valuation) – Reinvest 75% into Maison Rose Care Fund + 30% in fund units.
  2. Cash Consideration (75% of valuation) – Opt for a direct payout.

Future Growth & Market Impact

With $3.5 million in new investments, DomaCom is accelerating fund expansion, portfolio realignment, and investor accessibility. Completion is expected by 31 March 2025, subject to approvals.
